1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and AutomatePM, powered by wrk.com ("AutomatePM," "we," "us," or "our"), governing your access to and use of our website www.automatepropertymanagement.com and automation services.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.
2. Service Description
AutomatePM provides custom automation solutions specifically designed for property management companies, including but not limited to:
- AI-powered tenant communication systems
- Maintenance request automation and routing
- Lease renewal automation workflows
- Rent collection and payment processing automation
- Owner reporting automation
- Tenant onboarding workflows
- Integration with property management systems
Services are delivered on a subscription basis with implementation support and ongoing maintenance included.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your organization to use our services. By using AutomatePM, you represent and warrant that you meet these eligibility requirements.
4. Account Registration and Security
To access certain features of our services, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your account credentials confidential and secure
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities under your account
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
5. Subscription Plans and Pricing
5.1 Subscription Tiers
AutomatePM offers subscription plans starting at $500/month. Specific pricing depends on:
- Number of properties and units managed
- Selected automation workflows
- Integration requirements
- Support level and customization needs
5.2 Billing
Subscriptions are billed monthly in advance. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
5.3 Price Changes
We reserve the right to modify our pricing with 30 days' notice. Changes will apply to subsequent billing cycles. Your continued use of services after a price change constitutes acceptance of the new pricing.
5.4 Taxes
Prices do not include applicable taxes. You are responsible for all sales, use, and similar taxes associated with your subscription.
6. 30-Day Go-Live Guarantee
We guarantee your automation workflows will be live and operational within 30 days of contract signing, provided that:
- You provide required access to systems and data within 5 business days
- You respond to implementation questions within 2 business days
- Your systems meet our technical requirements
- The scope remains consistent with the initial agreement
If we fail to meet this guarantee due to our fault, you will receive your first month's subscription fee refunded.
7. Cancellation and Refunds
7.1 Cancellation
You may cancel your subscription at any time by providing 30 days' written notice. Cancellation will take effect at the end of your current billing period. You will continue to have access to services through the end of the paid period.
7.2 Refund Policy
Subscription fees are generally non-refundable except:
- We fail to meet our 30-day go-live guarantee (as outlined above)
- We are unable to deliver core services as described
- As required by applicable law
7.3 Termination by AutomatePM
We reserve the right to suspend or terminate your access to services for violation of these Terms, non-payment, or if we cease offering services. In such cases, we will provide reasonable notice when possible.
8. Data and Privacy
8.1 Client Data
You retain all rights to your property management data. We do not claim ownership of tenant information, lease data, or other business information you provide to AutomatePM.
8.2 Data Processing
We process your data solely to provide and improve our services. Our data handling practices are governed by our Privacy Policy.
8.3 Data Security
We implement industry-standard security measures to protect your data. However, you acknowledge that no system is completely secure, and we cannot guarantee absolute security.
8.4 Data Retention
Upon termination, we will retain your data for 90 days to facilitate potential service reinstatement. After 90 days, data will be securely deleted unless legally required to retain it longer.
9. Acceptable Use Policy
You agree not to:
- Use services for any unlawful purpose or in violation of any laws
- Interfere with or disrupt the integrity or performance of our services
- Attempt to gain unauthorized access to our systems or networks
- Use services to transmit malware, spam, or harmful content
- Impersonate AutomatePM or misrepresent your affiliation with us
- Reverse engineer, decompile, or attempt to extract source code
- Resell or redistribute our services without authorization
- Use services in a manner that violates third-party rights
10. Intellectual Property Rights
10.1 AutomatePM Property
All content, features, and functionality of AutomatePM services, including but not limited to software, workflows, documentation, designs, logos, and trademarks, are owned by AutomatePM and wrk.com and protected by intellectual property laws.
10.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use our services during your subscription period, subject to these Terms.
10.3 Feedback
If you provide feedback, suggestions, or ideas about our services, you grant us the right to use such feedback without compensation or attribution.
11. Third-Party Integrations
AutomatePM integrates with third-party property management systems, email platforms, and other services. Your use of third-party services is subject to their respective terms and conditions. We are not responsible for the performance, availability, or policies of third-party services.
Integration availability may change based on third-party API modifications or deprecations.
12. Warranties and Disclaimers
12.1 Service Warranty
We warrant that our services will perform substantially as described in our documentation and marketing materials. We will use commercially reasonable efforts to maintain service availability of 99.5% uptime, excluding scheduled maintenance.
12.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that services will be uninterrupted, error-free, or completely secure. You use services at your own risk.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AutomatePM's total liability for any claims related to services shall not exceed the amount you paid in the 12 months preceding the claim
- We shall not be liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for loss of profits, revenue, data, or business opportunities
- We are not responsible for damages caused by third-party services or integrations
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless AutomatePM, wrk.com, and their affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of our services
- Violation of these Terms
- Violation of any third-party rights
- Your data or content provided to AutomatePM
15. Dispute Resolution
15.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us to attempt to resolve disputes informally through our contact page.
15.2 Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration will be conducted in the state where AutomatePM is headquartered.
15.3 Class Action Waiver
You agree that disputes will be resolved individually and not as part of a class action or consolidated proceeding.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state where AutomatePM operates, without regard to conflict of law principles.
17. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use of services after changes become effective constitutes acceptance of the modified Terms.
18. Miscellaneous Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and AutomatePM.
18.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
18.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, or infrastructure failures.
